Anthropic filed its public S-1 with the SEC on October 26, 2026 to list Class A shares on the Nasdaq Global Select Market under the ticker ANT, and the filing reports revenue of $16.3 billion for the first half of 2026, up from $1.2 billion a year earlier, against a net loss of $80.7 billion. Most of that loss is a non-cash charge of $72.4 billion from revaluing convertible notes, the operating loss was $693 million, and the filing leaves the price range, share count and listing date blank.
Anthropic IPO in 2026 – Introduction
Anthropic IPO moved from rumor to record on October 26, 2026. The company that builds the Claude family of AI models made its registration statement public, and for the first time investors can read audited annual numbers and unaudited half-year results in one document. The filing follows a confidential submission on June 1 and a $65 billion funding round in May at a $965 billion valuation.
The numbers are extreme in both directions. Revenue grew fourteen-fold in six months, yet the reported net loss dwarfs it, because accounting rules force the company to mark its convertible notes to a higher valuation. Governance is unusual too, with a public benefit corporation, a trust that elects most of the board and a founder share worth 50.1% of the vote. This report covers revenue, losses, customers, costs, cash, governance and AI market context, one data table at a time.

The first five rows show how fast the business grew. Revenue rose from $41 million in 2023 to $386 million in 2024 and $4,585 million in 2025. In the first half of 2026 it reached $16,286 million, compared with $1,163 million in the first half of 2025, a rise of about 14 times. The company will trade as ANT if the offering goes ahead.
The last three rows show the cost of that growth. The net loss was $80,748 million for six months, but the operating loss was only $693 million because most of the loss came from revaluing convertible notes. Net revenue retention of about 900% means existing customers spent roughly nine times as much as a year earlier. The offering terms remain blank, so no valuation figure exists in the filing.

The path to the filing took eleven months of fundraising at rising marks. The company’s private valuation went from $350 billion in November 2025 to $965 billion after the $65 billion Series H on May 28, 2026. It then told the market on June 1 that it had confidentially submitted a draft S-1, which, it said, gives it the option to go public after the SEC completes its review.
The public filing arrived on October 26 with 22 banks on the cover, led by Goldman Sachs and Morgan Stanley. A 10-for-1 forward split took effect on September 17, so per-share figures in the document are adjusted. The price range, share count and offering size are all blank, and no listing date appears. Reports point to a mid-November listing, but the filing itself does not confirm one, and market conditions still apply.

Source: Anthropic, PBC Form S-1, summary consolidated financial data and non-GAAP measures, October 26, 2026.
Revenue grew faster than costs. Operating expenses rose from $3,298 million to $16,979 million in a year, a fivefold jump, while revenue rose fourteenfold, so the operating loss shrank from $2,135 million to $693 million. On the company’s adjusted measures it turned profitable, with adjusted operating income of $1,618 million (a 10% margin) and adjusted net income of $2,671 million, against losses a year earlier.
The headline loss comes from accounting. Anthropic recorded $72,388 million of non-cash fair-value changes on convertible notes, derivative liabilities and SAFEs in the first half, because the notes became more valuable as the company’s valuation rose. Other expense of $8,757 million added to the total. The loss per share was $39.88. These charges should end when the notes convert at the offering, which the filing describes as an automatic conversion into Class N stock.

Source: Anthropic, PBC Form S-1, prospectus summary, October 26, 2026.
Anthropic’s customer base is large and getting larger. It had more than 11,900 customers spending at least $100,000 over the trailing year, more than 1,900 spending at least $1 million, and about 250 spending at least $10 million. The company treats the $100,000 tier as its measure of enterprise adoption. Net revenue retention of about 900% shows customers expanding spend sharply, and Claude Cowork adoption outpaced Claude Code at the same point after launch, according to the filing.
Efficiency shows in two numbers. Revenue per employee rose to more than $6.6 million from $1.4 million a year earlier. Revenue grew 1,368% in the second quarter while compute and infrastructure expenses grew 300%. The filing says Claude Opus 5.5 cut customers’ cost per task by about 40% compared with Opus 5, which encourages more usage. Claude reaches customers through AWS, Google Cloud and Microsoft Azure, with Anthropic paying each a fee.

Anthropic sells intelligence by usage. The filing calls the model “pay-for-intelligence,” with customers paying for tokens at prices that depend on the model they choose, plus subscription plans for individuals. Claude Code, its coding agent, set the pattern for what the company calls Virtual Collaborators. Claude Cowork extends the same design to knowledge workers, and it launched as a research preview in January 2026. In September 2026 the company began merging Cowork and Claude.ai into one application.
Distribution runs through partners. Claude is available on 3 major cloud platforms, and Anthropic keeps direct contracts with customers while paying each cloud a fee. Integrators such as Accenture, Deloitte, KPMG and PwC, and data platforms such as Salesforce and Snowflake, put Claude into existing systems. Revenue grew 1,368% in the second quarter against 300% growth in compute and infrastructure cost, which the company cites as evidence of efficiency.

Compute is the biggest bill. Compute and infrastructure expenses were $8,945 million in the first half of 2026, up from $2,334 million a year earlier, and they made up more than half of the $16,979 million in operating expenses. Sales and marketing jumped from $120 million to $3,168 million, and personnel costs rose from $538 million to $3,152 million, with stock-based compensation of about $2.2 billion inside that. The 2025 total includes a $1,500 million settlement in the Bartz case.
Anthropic spreads its compute across four chip families: AWS Trainium, Google TPUs, NVIDIA GPUs and AMD GPUs. The filing warns that failure to secure enough compute could leave the company behind rivals, and that forecasts of compute demand are uncertain. It reports committed spend on purchase and lease agreements, with the dollar totals blank in this version. The cloud side of that relationship is covered in the Microsoft facts and statistics in the US report, since Azure is one of the three clouds that sell Claude.

Anthropic holds a large cash cushion. At June 30, 2026 it had $112.4 billion in cash and equivalents plus $19.3 billion in short-term investments, a combined $131,651 million, after raising $141.1 billion in total. Total assets were $147,358 million and total liabilities $117,467 million. That cash funds compute commitments that run well beyond the next year, and the filing says some obligations extend to 2045.
The equity picture looks odd because of accounting. Redeemable convertible preferred stock is carried at $157,510 million, outside stockholders’ equity, so the company shows a stockholders’ deficit of $127,619 million and an accumulated deficit of $132,902 million. The preferred shares and notes convert into common stock at the offering. None of those figures set a market value for the shares, and the company has not given a valuation range.

Public shareholders will not control the company. A single Class F share, held by an LLC of the 7 co-founders, carries 50.1% of the vote, and the Long-Term Benefit Trust elects a majority of the board through Class T stock. Together they can elect every director. Class A shares carry 1 vote each, and Class N shares, held mainly by strategic partners, have none. The filing says Anthropic is a controlled company but does not expect to rely on the exemption except for its nominating committee.
The public benefit structure adds obligations. Directors must balance shareholder interests with the stated purpose of developing advanced AI for the long-term benefit of humanity. Anthropic contributed 846,840,960 Class N shares, 5% of fully diluted shares, to its public benefit fund, and each co-founder pledged 80% of personal equity to philanthropy. The company says it depends on its co-founders and technical staff, a labor market shaped by visa rules covered in the H-1B workers in the US report.

The S-1 frames the opportunity in economic terms. Anthropic says knowledge work produced more than $40 trillion in value worldwide in 2025, and it cites IDC’s estimate that AI solutions and services will create $22.5 trillion in cumulative impact by 2031. It also points to the 1 billion knowledge workers expected by 2028 and to pharmaceutical spending above $2 trillion. These are the company’s market claims, not forecasts for its own revenue.
The listing also lands inside a wave. SpaceX listed on June 12, 2026, and OpenAI submitted a confidential draft S-1 reported on June 8, although its chief executive has said an IPO is not planned for 2026, according to one report.
